ARTICLE XIII - CHIEF EXECUTIVE OFFICER COUNCIL

Section 1. There shall be established a Chief Executive Officer (CEO) Council, which has the purpose of supervision, control and direction over the activities and affairs of the Federation, and shall determine its policies, budget and program of work. The Council may act by consensus; in the absence of consensus, a 2/3 majority vote shall sustain Council action. Each member of the Council has the right to oppose, or to abstain from voting on any matter considered by the Council. The Council shall adopt an annual operating budget, as presented by the Operating Group. The Council may recommend amendment to the World Code for approval by a 2/3 majority of the Board of Directors.

Section 2. A “chief executive officer”, as recognized by the Chairman of the Board or the Operating Group, of a direct selling company that is a member of at least one direct selling association within the Federation is eligible for membership in the CEO Council. No proxies will be accepted at CEO Council events; however, a member of this CEO Council may designate a primary staff representative to serve as a substitute for said member. The Chairman of the Board shall be the Chairman of the CEO Council.

Section 3. Membership in the CEO Council is contingent upon the payment of CEO Council dues to the Federation and membership criteria, if any.  The dues and membership criteria, if any, for the CEO Council shall be set by the Operating Group.
