ARTICLE VII - OPERATING GROUP

Section 1. The OPERATING GROUP shall consist of the Chairman, the Vice Chairmen, the Treasurer, the Secretary, , the Advocacy Committee Chairman, the Association Services Committee Chairman, the Ethics Committee Chairman and .the Global Regulatory Affairs Committee Chairman. The Executive Director, Secretary, and Assistant Treasurer shall be nonvoting members of the Operating Group. The terms of members of the Operating Group shall run for the same 3-year term as that of the Chairman of the Board.

Section 2. The OPERATING GROUP on a continuing basis shall exercise the authority of the Board and CEO Council between meetings of the Board. The Operating Group shall develop and present an annual operating budget for approval by the CEO Council. The Operating Group may recommend changes to the World Code(s) for approval by a 2/3 majority of the Board of Directors. Any powers not specifically granted to the Board of Directors or CEO Council shall be exercised by the Operating Group.

Section 3. At the request of the Chairman, the OPERATING GROUP may take actions by mail, telegraphic ballot, or by teleconference with such actions to be duly recorded by the Secretary of the Federation unless prohibited by law.

Section 4. A quorum of the OPERATING GROUP shall consist of a majority of its voting members.

Section 5. The OPERATING GROUP shall appoint, define the authority and responsibilities of and annually review the performance of an Executive Director as the Chief Administrative Officer.
